Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by Sandstone Vista Consulting Ltd. ("Sandstone Vista", "we", "us", "our"), a company incorporated under the laws of Uganda with registered offices at Plot 35 Nakasero Road, Kampala, Uganda.

By engaging our services, booking a session, signing a coaching agreement, or using our website, you ("Client", "you", "your") confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

We may update these Terms from time to time. The current version will always be published on our website, and we will notify existing clients of material changes by email.

2. Description of Services

Sandstone Vista provides professional coaching and consulting services including, but not limited to:

• Individual executive and professional coaching
• Leadership development programmes
• Professional mentoring arrangements
• Workplace collaboration workshops and facilitation
• Confidence building coaching
• Career planning and professional growth consulting
• Corporate team development programmes
• Group coaching and masterclasses

All services are delivered by qualified Sandstone Vista coaches or authorised associate coaches operating under our methodology and professional standards. The specific scope of services for each engagement is defined in the individual coaching agreement or programme contract.

3. Coaching Agreement

Before the commencement of any individual coaching programme, both parties will sign a Coaching Agreement that specifies:

• The programme type, duration, and session frequency
• The assigned coach and any agreed substitution provisions
• The programme fee, payment schedule, and accepted payment methods
• Confidentiality obligations and exceptions
• Cancellation and rescheduling policies
• Mutual responsibilities and expectations
• Termination conditions and refund policies

The Coaching Agreement forms part of the contractual arrangement between you and Sandstone Vista and should be read in conjunction with these Terms. In the event of any inconsistency between the Coaching Agreement and these Terms, the Coaching Agreement shall take precedence in relation to the specific engagement it governs.

4. Payment Terms

4.1 Fees and Payment Schedule

Programme fees are outlined in your Coaching Agreement or programme proposal. Payment may be structured as a single upfront payment or in agreed instalments. Payment is due on the dates specified in your agreement.

4.2 Accepted Payment Methods

We accept payment via MTN Mobile Money, Airtel Money, bank transfer (to our accounts at Stanbic Bank Uganda), and major international payment cards. Corporate clients may pay by invoice with standard 30-day payment terms.

4.3 Late Payment

If payment is not received within 7 days of the due date, we reserve the right to suspend coaching sessions until payment is received. We will notify you in writing before any suspension. Continued failure to pay within 30 days of the due date may result in termination of the coaching engagement.

4.4 Price Changes

For ongoing programmes, the agreed fee is fixed for the duration of that programme. We provide at least 60 days' notice of any fee changes for new or renewed engagements.

5. Cancellation and Rescheduling

5.1 Rescheduling Sessions

Sessions may be rescheduled by either party with a minimum of 48 hours' notice at no charge. Rescheduling requests received less than 48 hours before the scheduled session will be treated as a late cancellation.

5.2 Late Cancellations

Sessions cancelled with less than 24 hours' notice (excluding genuine medical or family emergencies) will count as a used session and will not be rescheduled at no additional charge. We apply this policy consistently and fairly.

5.3 No-Show Policy

If a client does not attend a scheduled session without prior notice, that session will be forfeited. Repeated no-shows (two or more) may result in a review of the coaching engagement.

5.4 Programme Cancellation by Client

If you wish to cancel your programme before completion:

• Cancellation before first session: Full refund, minus an administrative fee of UGX 100,000
• Cancellation after first session but before 50% of sessions: Refund of unused sessions, minus 15% administration fee
• Cancellation after 50% of sessions completed: No refund, unless exceptional circumstances apply

All refund requests must be submitted in writing to info@sandstonevista.info. We handle all such requests with compassion and on a case-by-case basis.

5.5 Programme Cancellation by Sandstone Vista

In the unlikely event that we need to cancel a programme (e.g., due to coach unavailability), we will offer either a replacement coach or a full refund of prepaid unused sessions. We will provide maximum notice where possible.

6. Confidentiality

Sandstone Vista is committed to maintaining strict confidentiality in all coaching relationships. All information shared in coaching sessions is confidential and will not be disclosed to any third party without your explicit written consent, except in the following circumstances:

• Where disclosure is required by law or court order
• Where there is a risk of serious harm to you or another person
• Where you have explicitly authorised disclosure to a named third party (e.g., an employer sponsor)

We also expect clients to maintain appropriate discretion regarding the content of coaching sessions. Information about other clients or Sandstone Vista's business practices disclosed in the course of your engagement should be treated as confidential.

7. Intellectual Property

All materials, frameworks, tools, worksheets, assessments, and content provided or made available during coaching sessions and programmes remain the intellectual property of Sandstone Vista Consulting Ltd. or our licensed providers, unless otherwise specified in writing.

You are granted a personal, non-transferable licence to use these materials for your own professional development. You may not reproduce, distribute, or commercialise any Sandstone Vista materials without our prior written consent.

8. Limitation of Liability

Sandstone Vista's coaching and consulting services are designed to support your professional development, but we cannot guarantee specific professional outcomes (such as promotions, salary increases, or career changes). Results depend on many factors outside our control, including your commitment, workplace circumstances, and individual effort.

To the fullest extent permitted by Ugandan law, Sandstone Vista shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our services. Our total aggregate liability to you for any claim shall not exceed the fees paid to us in the three months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

9. Client Conduct

We are committed to providing a professional, safe and respectful coaching environment. In return, we ask that all clients:

• Attend sessions on time and come prepared to engage
• Treat coaches, staff and fellow participants with respect and dignity
• Refrain from recording sessions without prior written consent
• Provide honest and accurate information in assessments and discussions
• Respect the confidentiality of information shared by other group coaching participants
• Comply with our payment terms and cancellation policies

Sandstone Vista reserves the right to terminate any engagement immediately and without refund in the event of conduct that violates these expectations, at our sole discretion.

10. Termination

Either party may terminate a coaching engagement at any time for any reason by providing written notice. The refund provisions outlined in Section 5.4 shall apply. Upon termination, all outstanding fees become immediately due and payable.

Sandstone Vista may terminate an engagement immediately and without notice if a client engages in conduct that violates our code of conduct, fails to pay fees after reasonable notice, or acts in bad faith toward our staff or other clients.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising out of or in connection with these Terms or our services shall first be subject to good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to mediation in Kampala under the rules of the Uganda Mediation Centre. If mediation is unsuccessful, disputes shall be submitted to the exclusive jurisdiction of the courts of Uganda.
